James Randall Graphic Design terms & conditions

The placement of a project with James Randall Graphic Design either verbally or in writing will be deemed as acceptance of these terms and conditions. All work is carried out on that understanding.

Charges
Upon the placement of a project with James Randall Graphic Design, prior to work starting a non-refundable payment of 50% of the total fee will become due. The payment will be required within seven working days of the invoice date.

The remaining 50% of the project fee total will be due upon completion, and prior to the release of any printed material or electronic files.

The client agrees that any extra work requested in addition to the original project fee, or any extra work required due to a change of brief will be quoted and charged extra.

Project amends requested over the number stated in the original estimate or quotation will, at my discretion be charged extra.

Any design or content changes requested to completed, signed-off works will be quoted and charged extra.

Payment
Any invoice queries must be raised in writing within seven working days of the invoice date.

To cover costs of services with external companies, any project that involves printed material must be paid in full prior to print.

Any client accounts which remain outstanding after seven working days of the invoice date will incur a late payment interest charge. This will be based on the Bank of England’s base rate, plus 8% of the amount due.

Default
Client accounts remaining unpaid for 14 days from the invoice date will be considered in default. Works will not continue until the outstanding amount has been paid in full.

Supply of material
All text supplied to James Randall Graphic Design must be in standard text formats or via email.

Images supplied must be of a suitable resolution and quality. James Randall Graphic Design will not be held responsible for any image reproduction deemed to be unacceptable by the client.

Any unforeseen costs including, but not limited to photography, image searches, illustration, colour correction, retouching, font purchase or data entry will be quoted and charged extra.

Project Duration
Any timescales proposed for a project are an estimation only and based on the date of receiving funds. James Randall Graphic Design cannot be held responsible for any project overruns, regardless of the cause.

Intellectual Property Rights and Copyright
The client must hold the copyright/trademark permissions, or have permission granted from the rightful owner for all material supplied.

In the event of any claims arising from the client not having the rightful copyright/trademark permissions The client will fully indemnify James Randall Graphic Design and hold it free from any claims.

The intellectual property rights and copyright for all completed design works belong to James Randall Graphic Design.

Any design work created on behalf of the client will remain the property of James Randall Graphic Design. A copyright license for its use is provided to the client solely for the purposes of the specific project. Any use required outside of the original project brief will require extra copyright permissions, for which an extra charge could be made at the discretion of James Randall Graphic Design.

If multiple designs are presented in response to the client’s brief, only the chosen design will be granted copyright for its intended use. All other designs will remain the intellectual property and copyright of James Randall Graphic Design.

Websites
A site map and design structure is to be approved by the client prior to the website build. After approval, any requested changes to the design structure, navigation, colours or content will be quoted and charged extra.

Once a website build is complete, the client will have 14 days to review. James Randall Graphic Design will make one set of minor text or design changes as part of the project fee. Any changes requested to design structure, navigation, colours or content will be quoted and charged extra.

A live website page may not exactly match the original flat graphic design visual, due to differences between displays and the rendering of HTML code by internet browsers.

After approval of a website build, any repairs required as a result of updates made by third parties causing the website not to display or work properly will be quoted and charged in addition to the original project fee.

Any website software license or upgrade fees are the responsibility of the client, not James Randall Graphic Design.

Search Engine Optimisation
Basic search engine optimisation requirements will be met with all website builds. However, due to the complex algorithms used by search engines, James Randall Graphic Design will not guarantee any ranking or placement, or any time frame in which a website will appear in search results.

James Randall Graphic Design recommends clients use the additional services of a dedicated SEO company, for which it can provide recommendations, but will accept no responsibility for their services.

GDPR
James Randall Graphic Design does not have a legal expertise background. It is the client’s responsibility to adhere to correct GDPR guidelines, and if required seek advice from a third party to protect itself and avoid penalties.

Rights of Refusal
James Randall Graphic Design will not include any content which it deems to be immoral, offensive or illegal, and will not be liable in any way for using content which is later found to be a contravention of these terms.

Cancellation
Cancellation of a project must be made in writing. Any works completed and are deemed to be beyond the 50% project fee payment will be invoiced with payment required within seven working days.

James Randall Graphic Design makes no warranties of any kind, express or implied and will not be held responsible for any damages resulting from its services. Any claim against James Randall Graphic Design will be limited to the relevant fees paid by the client.
